Terms and Conditions for Izy mAIfood

These terms and conditions (the "Terms") govern the use of Izy mAIfood (the "Service"), which is provided by Izy AS (organisation number 922 177 775) ("Izy", "us", "we" or "our"). Izy mAIfood is a digital point-of-sale and payment solution for canteens, kiosks and associated catering environments. The Service forms part of Izy's service offering and has been developed to facilitate efficient, responsible and user-friendly execution of sales and payment processes, as well as user management and administrative follow-up in such environments. The Service may also be integrated with other components of the Izy platform, where this has been enabled by the Organisation. The Service may employ methods and functionality based on artificial intelligence and machine learning. Further information about the Service is available at izy.no.

Where the terms of a specific offer deviate from these Terms, this shall be expressly indicated for the offer in question. The Privacy Policy is available here.

By using the Service, whether as a registered user, guest or administrator, the User (the "User") accepts these Terms. "Organisation" means the employer, building owner or other legal entity that has made the Service available to the User and that has the right to administer users, access rights, prices, benefits and content within the Service. These Terms are supplemented by Izy's Privacy Policy and any special terms agreed between Izy and the Organisation. In the event of conflict between such special terms and these Terms, the special terms shall prevail.

Purpose

The purpose of the Service is to facilitate efficient, responsible and user-friendly execution of sales and payment processes in such environments, as well as to support administration, configuration and follow-up by the Organisation. The Service may be used, inter alia, for the registration of goods, pre-payment verification, payment processing, management of user relationships and associated administrative functions. Where relevant, the Service may employ methods and functionality based on artificial intelligence and machine learning.

Functionality

Unless otherwise specifically agreed, the Services may include the following modules:

  • Automated Product Recognition (AI): The Service may utilise camera technology, image analysis, artificial intelligence and machine learning to identify items placed for registration and to support other relevant functions within the solution. Where applicable, integrated scales may be employed for calibration and plausibility verification for both unit-priced and weight-priced items. Prior to payment, the User is presented with the registered items and afforded the opportunity to verify or correct the registration. Canteen personnel or other authorised staff may, where deemed necessary, override the registration.
  • Payment: Purchases of products and services from third parties are made directly between the User and the relevant provider. Payments are processed by independent payment service providers integrated into the solution. The payment service provider's own terms and conditions apply in addition.
  • Administration Interface (CMS): The Organisation has access to an administration interface (Content Management System, "CMS") for the centralised management of products and prices, administration of benefits and discounts, user and access management, and reporting, including X, Z, SAF-T and VAT summaries, as well as export via integrations. The Organisation is responsible for managing roles and access rights in accordance with the principle of least privilege, terminating access when necessary, and ensuring that the content in the CMS is accurate and compliant with applicable law.
  • Digital Identifiers: Where the functionality has been enabled by the Organisation, the Service may be validated against digital identifiers from the Izy App to confirm the User's affiliation and grant access to relevant functions, benefits and discounts. Such benefits and discounts are determined by the Organisation in the CMS and may be activated automatically upon scanning of a QR code or other relevant identifier.

Purchases and Liability

Purchases made via the Service are concluded directly between the User and the relevant provider and/or the Organisation at the premises. Izy is not a party to such purchase agreements and bears no liability for their performance or breach. The Organisation's own terms may apply in addition to individual transactions. Izy reserves the right to cancel or decline to process an order where there is a legitimate basis for doing so, including in the event of product or service unavailability, errors in pricing or description, or errors in the order.

Availability, Errors and Inaccuracies

We continuously update our products and features within the Service. Products or services offered via the Service may be incorrectly priced, incorrectly described or unavailable. We cannot guarantee the accuracy or completeness of the information, including prices, product descriptions, images, availability or specifications. We reserve the right to correct errors, inaccuracies or omissions without prior notice.

User Account

Where the User's employer requires purchases via the Service, Izy may have received the User's email address from the employer in order to prepare access. If the User does not activate a user account within a reasonable time, the email address shall be deleted and shall not be used for any other purpose.

The Service may, where this has been facilitated by the Organisation, also be used by guest users for the execution of purchases. Certain functions, benefits and discounts may be reserved for registered users. Where the employer offers benefits in the canteen, such benefits shall apply only to registered users associated with the relevant agreement.

When the User creates a user account, the information provided must be accurate and up to date. Where the User registers as an employee, the email address assigned by the employer must be used. The User shall not use a username belonging to another person or one that is offensive or inappropriate. The User is responsible for protecting their password and for all activity that takes place via the account. The password must not be shared with third parties. The User is obliged to notify Izy without undue delay in the event of a security breach or unauthorised use of the account.

Security

Izy works continuously to maintain an appropriate level of security within the Service, but cannot guarantee complete security. The User is obliged to comply with these Terms and any other guidelines made available by Izy in order to contribute to the secure use of the Service. In the event of a breach of the Terms or other security-related guidelines, Izy reserves the right to remove offensive content, restrict or terminate access to the account and, where deemed necessary, notify the relevant authorities or affected third parties. Suspicious or malicious activity must be reported to Izy without undue delay.

Copyright

The Service and its original content, features and functionality are and shall remain the exclusive property of Izy and its licensors or other collaborating third parties. The Service and content disseminated through it are protected by copyright, trademarks and other laws in Norway and abroad. Our trademarks and trade names, or those of our licensors and collaborating third parties, may not be used in connection with any product or service without the prior written consent of Izy.

Links to Other Websites

The Service may contain links to third-party websites, applications or services that are not owned or controlled by Izy. We have no control over and assume no responsibility for the content, privacy practices or other practices of such websites or services. Furthermore, the User accepts that Izy shall not be liable or responsible, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on content, goods or services available on or through such websites or services. We recommend that the User reads the terms and privacy policies of any third-party website or service that the User visits.

Privacy

In order to provide the Service and associated functionality, it is necessary for Izy to process certain personal data concerning users of the Service. In certain contexts, Izy acts as a data processor on behalf of employers and others who wish for users to be granted access to the Service, as well as for organisations that offer products and services through the Service. In such cases, data processing agreements are entered into which govern the customer relationship and describe Izy's processing of personal data on behalf of the data controller.

Izy also processes personal data for its own purposes, including to detect errors, improve and further develop the Service, and to compile statistics and analyses. Where relevant, data may be aggregated and anonymised. For further information on Izy's processing of personal data in the capacity of data controller, reference is made to the Privacy Policy.

Termination

The User may terminate use of the Service by contacting us. Upon termination, personal data shall be deleted in accordance with the Privacy Policy and applicable law. Izy may terminate or temporarily suspend the Service, in whole or in part and without prior notice, where this is necessary for operational, security, misuse or statutory reasons.

Limitation of Liability

Izy, its representatives and suppliers shall not be liable for direct or indirect loss. This includes, but is not limited to, loss of profit, data, use, goodwill or other intangible assets, as well as claims from third parties arising from the User's access to or use of, or inability to access or use, the Service, third-party conduct or content disseminated through the Service, content obtained from the Service, or unauthorised access to, use of or alteration of transmissions or content.

Izy's aggregate liability in connection with breach of these Terms or negligence shall be limited to NOK 10,000.

Disclaimer

Use of the Service is at the User's own risk. The Service is provided "as is" and "as available". The Service is provided without warranties of any kind, whether express or implied, including warranties of fitness for a particular purpose, non-infringement or satisfactory performance.

Izy, its subsidiaries, affiliated companies, licensors and suppliers do not warrant that:

(a) the Service will function without interruption, securely, or be available at a particular time or location;

(b) any errors or defects will be corrected;

(c) the Service is free from viruses or other harmful components; or

(d) the results of the Service will meet your requirements.

Governing Law

These Terms shall be governed by and construed in accordance with Norwegian law, without regard to conflict of law rules. Failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Should any provision be held invalid or unenforceable by a court of law, the remaining provisions shall continue to apply in full. These Terms constitute the entire agreement between the parties concerning the use of the Service and supersede any prior agreements on the same subject matter.

Amendments

Izy reserves the right to amend or replace these Terms at any time. Where an amendment is material or results in a restriction of the User's rights, Izy shall provide notice at least 14 days before the revised Terms enter into force. If the User continues to use the Service after the effective date, the revised Terms shall be deemed accepted. If the User does not accept the new Terms, further use of the Service must cease.
