Terms and Conditions for Izy mAIfood and Izy Go

These terms and conditions (the "Terms") govern the User's use of Izy mAIfood and Izy Go (the "Service"), which is provided by Izy AS (organisation number 922 177 775) ("Izy", "we", "us" or "our").

The Service is a digital point-of-sale and payment solution for canteens, kiosks and other food service and retail establishments. The Service forms part of Izy's service offering and is intended to support the efficient, proper and user-friendly performance of sales and payment processes, as well as user management and administrative follow-up. The Service may also be integrated with other parts of the Izy platform, where such integration has been enabled by the Enterprise. Further information about the Service is available at izy.no.

If the terms applicable to any specific offering differ from these Terms, such differences shall be stated expressly for the relevant offering.

By using the Service, whether as a registered user, guest user or administrator, the User (the "User") is considered to have accepted these Terms. The "Enterprise" means the employer, building owner or other legal entity that has made the Service available to the User, and which is entitled to administer users, access rights, prices, benefits and content within the Service. These Terms are supplemented by Izy's Privacy Policy and any specific terms agreed between Izy and the Enterprise. The Privacy Policy is available here.

Purpose

The purpose of the Service is to facilitate the efficient, proper and user-friendly execution of sales and payment processes, and to support administration, configuration and administrative follow-up by the Enterprise. The Service may, among other things, be used for registering products, conducting checks prior to payment, processing payments, managing user accounts and access, and performing related administrative functions.

Functionality

Unless otherwise expressly agreed, the Service may include the following modules:

  • Automated product recognition (AI): The Service may use cameras, image analysis and functionality based on artificial intelligence and machine learning to identify products placed for registration and to support other relevant functions within the solution. Where relevant, an integrated scale may be used for calibration and plausibility checks for both unit-based and weight-based items. Prior to payment, where supported by the functionality, the User will be presented with the registered products and given an opportunity to review or correct the registration. Canteen staff or other authorised personnel may, where deemed necessary, override the registration.
  • Payment: Purchases of products and services from third parties are made directly between the User and the relevant provider. Payments are processed by independent payment service providers integrated in the solution. The payment service provider's own terms and conditions apply in addition.
  • Administration interface (CMS): The Enterprise is granted access to an administration interface (Content Management System, "CMS") for central management of products and prices, administration of benefits and discounts, user and access management, and reporting, including X, Z, SAF-T and VAT overviews, and export via integrations. The Enterprise is responsible for administering roles and access rights in accordance with the principle of least privilege, terminating access where necessary, and ensuring that the content in the CMS is correct and compliant with applicable law.
  • Digital identifiers: Where enabled by the Enterprise, the Service may be validated against digital identifiers from the Izy App in order to confirm the User's affiliation and grant access to relevant functionality, benefits and discounts. Such benefits and discounts are determined by the Enterprise in the CMS and may be applied automatically upon scanning a QR code or other relevant identifier.

Purchases and responsibility

Purchases made through the Service are entered into directly between the User and the relevant provider and/or the Enterprise within the building. Izy is not a party to such purchase agreements and accepts no liability for their performance or any breach thereof. The Enterprise's own terms may apply in addition to each individual transaction. Izy reserves the right to cancel or refrain from processing an order where this is objectively justified, including due to lack of product or service availability, errors in price or description, or errors relating to the order.

Availability, errors and inaccuracies

We continually update our products and functionality within the Service. Products or services offered through the Service may be incorrectly priced, incorrectly described or unavailable. We cannot guarantee the accuracy or completeness of the information, including prices, product descriptions, images, availability or specifications. We reserve the right to correct errors, inaccuracies or omissions without prior notice.

User account

Where the User's employer requires purchases to be made through the Service, Izy may have received the User's email address from the employer in order to provision access. If the User does not activate a user account within a reasonable time, the email address will be deleted and will not be used for other purposes.

Where enabled by the Enterprise, the Service may also be used by guest users for making purchases. Certain functionality, benefits and discounts may be reserved for registered users. Where the employer offers benefits in the canteen, such benefits apply only to registered users affiliated with the relevant arrangement.

When creating a user account, the information provided must be accurate and kept up to date. Where the User registers as an employee, the email address provided by the employer must be used. The User must not use a username that belongs to another person, or that is offensive or inappropriate. The User is responsible for maintaining the confidentiality of the password and for all activity carried out via the account. The password must not be shared with any third party. The User must notify Izy without undue delay in the event of any security breach or unauthorised use of the account.

Security

Izy works continuously to maintain an appropriate level of security for the Service but cannot guarantee complete security. The User must comply with these Terms and any other guidelines made available by Izy in order to contribute to the secure use of the Service. In the event of a breach of the Terms or other security-related guidelines, Izy reserves the right to remove offensive content, restrict or terminate access to the account and, where deemed necessary, notify relevant authorities or affected third parties. Suspicious or malicious activity must be reported to Izy without undue delay.

Intellectual property rights

The Service and its original content, features and functionality are and will remain the exclusive property of Izy and its licensors or other collaborating third parties. The Service and any content made available through it are protected by copyright, trademarks and other laws in Norway and abroad. Our trademarks and those of our licensors and collaborating third parties must not be used in connection with any product or service without Izy's prior written consent.

Links to other websites

The Service may contain links to third-party websites, applications or services that are not owned or controlled by Izy. We have no control over, and accept no responsibility for, the content, privacy practices or other practices of any such websites or services. The User further accepts that Izy shall not be liable, whether directly or indirectly, for any damage or loss caused, or alleged to be caused, by or in connection with the use of, or reliance upon, any content, goods or services available on or through any such websites or services. We recommend that the User reads the terms and privacy policies of any third-party website or service visited by the User.

Privacy

In order to provide the Service and related functionality, Izy must process certain personal data relating to users of the Service. In certain contexts, Izy acts as a data processor on behalf of employers and others who wish to grant users access to the Service, as well as for enterprises that offer products and services through the Service. In such cases, data processing agreements are entered into which govern the customer relationship and describe Izy's processing of personal data on behalf of the controller.

Izy also processes personal data for its own purposes, including to detect errors, improve and further develop the Service, and to prepare statistics and analyses. Where relevant, information may be aggregated and anonymised. For further information about Izy's processing of personal data in its capacity as controller, please refer to the Privacy Policy.

Termination

The User may terminate use of the Service by contacting us. Upon termination, personal data will be deleted in accordance with the Privacy Policy and applicable law. Izy may terminate or temporarily suspend the Service, in whole or in part and without prior notice, where this is necessary for operational, security, misuse prevention or legal compliance reasons.

Limitation of liability

Izy, its representatives and suppliers shall not be liable for any direct or indirect loss. This includes, without limitation, loss of profit, data, use, goodwill or other intangible losses, as well as claims from third parties arising out of the User's access to or use of, or inability to access or use, the Service, any conduct or content of third parties made available through the Service, any content obtained from the Service, or unauthorised access to, use of or alteration of transmissions or content.

Izy's aggregate liability in connection with breach of these Terms or negligence is limited to NOK 10,000.

Disclaimer

Use of the Service is at the User's sole risk. The Service is provided on an "as is" and "as available" basis. The Service is provided without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement or satisfactory performance.

Izy, its subsidiaries, affiliates, licensors and suppliers do not warrant that:

  • (a) the Service will function uninterrupted, secure or be available at any particular time or location;
  • (b) any errors or defects will be corrected;
  • (c) the Service is free of viruses or other harmful components; or
  • (d) the results of using the Service will meet the User's requirements.

Governing law

These Terms are governed by, and shall be construed in accordance with, Norwegian law, without regard to its conflict of law rules. Failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions shall remain in full force and effect. These Terms constitute the entire agreement between the parties regarding use of the Service and supersede any prior agreements relating to the same subject matter.

Changes

Izy reserves the right to amend or replace these Terms at any time. If a change is material or results in a restriction of the User's rights, Izy will give at least 14 days' notice before the revised Terms take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If the User does not accept the revised Terms, use of the Service must cease.
